1. Who you are contracting with

These Terms & Conditions ("Terms") are between you and Vocalyze Technologies Pvt Ltd ("Vocalyze", "we", "us"), the operator of the Vocalyze service — a platform for automated phone testing of voice AI agents. By creating an account or continuing to use the service, you agree to these Terms. If you use the service on behalf of a company, you confirm you have authority to bind that company.

2. The service

Vocalyze places real phone calls to voice AI agents that you configure, simulates multilingual callers, records and transcribes the calls, and scores them against your rubrics. We grant you a limited, non-exclusive, non-transferable right to use the service within the limits of your plan. You may not reverse engineer the service, resell or redistribute it, or circumvent plan limits.

3. Your responsibilities

• Keep your account credentials confidential; you are responsible for all activity under your account.
• Provide accurate information and keep it up to date.
• Only configure test calls to phone numbers and voice agents you own or are authorized to test. You are responsible for having all necessary rights and consents to call and record those numbers, and for complying with applicable call-recording and telecommunications laws.

4. Acceptable use

You must not misuse the service, including:

• Unlawful use, fraud, or spam (including unsolicited robocalling).
• Infringing intellectual property or privacy rights of others.
• Interfering with the service's security or infrastructure (malware, probing, scraping).
• Calling emergency services, premium-rate numbers, or third parties without authorization.

5. Intellectual property

We retain all ownership of the service and its IP — software, documentation and branding. You retain ownership of your content (scenarios, rubrics, test recordings and transcripts). You grant us a limited license to host and process that content solely to provide the service to you.

6. Payments, billing and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled; you can cancel any time from the Billing page and keep access until the end of the paid period. See our Refund Policy.

7. Service level

We do not guarantee uninterrupted or error-free operation. The service is provided "as is" and we disclaim all implied warranties (including merchantability and fitness for a particular purpose) to the fullest extent permitted by law.

8. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your access ends and we may delete your data after a reasonable export window — contact us before the period ends if you need an export.

9. Liability

To the fullest extent permitted by law, we are not liable for indirect, consequential or special damages (including loss of profits, data or goodwill), and our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, death or personal injury where the law does not allow it.

10. Governing law

These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts of Kolkata, India.
